Terms of Service

1. Acceptance of Terms

By accessing or using PraiseGuard (the "Service") operated by PraiseGuard("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and anyone who accesses or uses the Service. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Description of Service

PraiseGuard is a reputation management platform that enables local businesses to:

• Generate QR codes that direct customers to a custom review landing page.
• Configure smart review funnels that route satisfied customers to Google reviews and capture private feedback from dissatisfied customers.
• Track analytics including QR scans, review link clicks, and feedback submissions.
• Manage multiple business locations from a single dashboard.

3. User Accounts

You must create an account to access the Service. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorised use of your account at support@praiseguard.app.

We authenticate users via Google OAuth. You must have a valid Google account to use the Service. We are not responsible for any loss or damage arising from your failure to comply with these requirements.

4. Payment and Licensing

4.1 Per-Business Annual License

Access to the Service requires a one-time annual payment of $100 USD per business location. Each license is valid for 12 months from the date of purchase. To continue using the Service after expiry, you must renew the license.

4.2 Payment Processing

All payments are processed by Lemon Squeezy. By making a purchase you also agree to Lemon Squeezy's Terms of Service. We do not store your payment card details.

4.3 Refunds

All purchases are final and non-refundable. By completing a purchase you agree that no refunds will be issued under any circumstances. Please review your purchase carefully before completing checkout.

4.4 Price Changes

We reserve the right to change the license price at any time. Price changes will not affect licenses already purchased; they apply only to future purchases and renewals. We will provide at least 30 days notice of any price increase.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international laws or regulations.
• Collect or store personal information about others without their consent.
• Post, transmit, or distribute unlawful, harassing, defamatory, abusive, threatening, or fraudulent content.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorised access to any part of the Service, its infrastructure, or other users' accounts.
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Service without our written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Manipulate Google reviews or any other third-party review platform in violation of that platform's policies.
• Use the Service to incentivise, coerce, or purchase reviews, which violates Google's review policies.

Violation of these rules may result in immediate termination of your account without refund.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of PraiseGuard. Our trademarks, logos, and trade names may not be used without our prior written consent.

You retain ownership of all content you create (business data, templates, feedback data). By using the Service, you grant us a limited, non-exclusive licence to process and display that content solely to provide the Service to you.

7. Third-Party Services

The Service integrates with third-party services including Google (OAuth authentication and Places API), Lemon Squeezy (payments), Supabase (database), and Vercel (hosting). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability or content of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRAISEGUARD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless PraiseGuard and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or your violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time by contacting us at support@praiseguard.app. Termination does not entitle you to a refund. All purchases are final.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by email at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes relating to these Terms or the Service shall be resolved through binding arbitration or in the courts of the jurisdiction where PraiseGuard is headquartered, and you consent to personal jurisdiction in such courts.
